1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the website at fincopysolutions.com (the "Site") and any services provided by Ikaria Labs LLC, doing business as FinCopy Solutions ("Company," "we," "us," or "our"). By accessing the Site or engaging our services, you agree to be bound by these Terms. If you do not agree, you should not use the Site or our services.

2. Description of Services

FinCopy Solutions provides content strategy, search engine optimization, answer engine optimization, and related consulting services for businesses, primarily in the financial services industry. The specific scope, deliverables, and pricing for client engagements are defined in separate service orders, invoices, or the Subscription Agreement available on the Site.

3. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use our Site and services. By using the Site, you represent that you meet these requirements.

4. User Conduct

When using the Site, you agree not to:

• Use the Site for any unlawful purpose or in violation of any applicable laws or regulations
• Attempt to interfere with, compromise, or disrupt the Site or its underlying infrastructure
• Reproduce, distribute, or create derivative works from Site content without our prior written consent
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Transmit any viruses, malware, or other harmful code

5. Intellectual Property

5.2 Client Work Product

Ownership of deliverables created for clients under a service engagement is governed by the applicable Subscription Agreement or service order. Unless otherwise agreed in writing, the Company retains ownership of all proprietary methodologies, frameworks, templates, and tools used in delivering services.

6. Disclaimer of Warranties

THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

Our services involve content strategy and optimization consulting. We do not guarantee specific search rankings, traffic levels, or business outcomes.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IKARIA LABS LLC AND ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SITE OR SERVICES, REGARDLESS OF THE THEORY OF LIABILITY. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO US IN THE SIX (6) MONTHS PRECEDING THE CLAIM.

8. Indemnification

You agree to indemnify, defend, and hold harmless Ikaria Labs LLC and its officers, members, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Site, violation of these Terms, or infringement of any third-party rights.

13. Dispute Resolution

If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in the Commonwealth of Virginia. Each party shall bear its own costs, and the arbitrator's decision shall be final and binding.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of laws provisions.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

16. Entire Agreement

These Terms, together with the Privacy Policy and any applicable Subscription Agreement or service order, constitute the entire agreement between you and Ikaria Labs LLC regarding the subject matter herein.
